Kalpataru Projects International Completes Buyout of Remaining 35% Stake in Saudi JV, Kalpataru Projects Arabia Company Now Wholly Owned Subsidiary

Full Control Secured in Saudi Power Infrastructure

Kalpataru Projects International Limited (KPIL) has completed the acquisition of the remaining 35% equity stake in its Saudi Arabian joint venture, Kalpataru Projects Arabia Company (formerly Kalpataru IBN Omairah Company Limited), making it a wholly owned subsidiary. Approvals from the Saudi Business Centre and other authorities in the Kingdom of Saudi Arabia were obtained on April 26, 2026, with the acquisition made effective from April 14, 2026.

Transaction Terms

The company had earlier notified exchanges on February 24, 2026, regarding its Share Sale, Exit, and Release Agreement with BIN Omairah Contracting Company Limited to acquire the remaining stake, executed for a cash consideration of Saudi Arabian Riyal (SAR) 10 million through banking channels. The acquisition involved acquiring 175 equity shares representing the 35% stake.

Operational Scope and Strategic Intent

KIOCL's core business focuses on the EPC engagement in Power Transmission, Distribution, and Substation works. By moving from a 65% to a 100% ownership structure, the company aims to streamline its project delivery for large-scale High Voltage Transmission lines and Sub-Station works. The transition to a wholly owned subsidiary model allows the company to integrate its Saudi Arabian operations fully into its global business structure.
