Kalpataru Projects International Concludes 45th AGM with Dividend Declaration and Board Appointments

Kalpataru Projects International concluded its 45th AGM on July 15, 2026, approving FY26 financial results and declaring a final dividend of ₹11 per share. The meeting was held via video conferencing, with all resolutions passing by majority.

Dividend Approval and Payment Schedule

The dividend of ₹11 per share represents 550% of face value, with a ₹2 face value per equity share. The record date for determining dividend entitlement was fixed as June 29, 2026. The final dividend will be paid on or before August 13, 2026, if declared.

Eligible shareholders on the June 29 record date will receive the payout pending final processing.

Governance Changes and Board Strengthening

Shareholders approved the appointment of Gautam Mehra as an Independent Director alongside the re-appointment of Parag M. Munot. Gautam Mehra was appointed as an Independent Director for a five-year term effective June 9, 2026, subject to shareholder approval.

Mehra is a qualified CA and lawyer with decades of experience in tax, regulatory and investment advisory work, and previously led PwC's India Tax and Regulatory practice and Asset Management Sector. He currently serves as a member of two committees constituted by the Securities and Exchange Board of India and has served on the boards and committees of industry organizations such as APREA, CII, Amcham India, and the ICAI.

Resolutions and Voting Outcomes

Resolutions included financial adoption, dividend declaration, director appointments, and cost auditor remuneration ratification. All six resolutions were passed with strong majority support.

The meeting was chaired by Non-Executive Chairman Mofatraj P. Munot and held at 12:30 P.M. IST through Video Conferencing and Other Audio Visual Means.
