KPIL's Brazilian Subsidiary Files for Judicial Reorganization
Kalpataru Projects International Limited (KPIL) announced that its step-down wholly owned subsidiary, Fasttel Engenharia S.A., has filed for Judicial Reorganization in Brazil on March 5, 2026. Fasttel submitted an application for Judicial Reorganization before the competent judicial authority under the provisions of Lei nº 11.101/2005.
The Reorganization Process
The key objectives of judicial reorganization in Brazil include preserving the company and its social function, maintaining productive sources and jobs, stimulating economic activity, protecting creditors' interests more equitably, and allowing more active creditor participation. The court-supervised process allows Fasttel to present a restructuring plan to its creditor classes aimed at ensuring business continuity while preserving the existing shareholding structure at this stage.
Under Brazilian law, the debtor is obliged to offer a recovery plan within 60 days (non-extendable) from the decision that granted leave to commencement of judicial recovery proceedings. The recovery plan must contain a detailed description of the means that will be employed to reorganize the company, the demonstration of the economic viability of the plan, a financial report and the evaluation of the debtor's assets and credits by an independent company.
Financial Impact and Parent Company Response
KPIL disclosed that it will assess its financial exposure and recognize appropriate provisions in its consolidated accounts. The company's FY26 results will reflect a ₹90.5 crore goodwill and intangibles impairment following this assessment.
There will be no immediate change in the shareholding pattern of Fasttel, nor will the effective percentage shareholding held by KPIL in Fasttel be affected at this stage. This development follows KPIL's acquisition of the remaining 49% stake in Fasttel in July 2023, making it a wholly owned subsidiary.
Fasttel's Operations and Track Record
Fasttel was incorporated on 8th February, 1988 in Curitiba city in the state of Parana in southern part of Brazil. It is an established EPC player with more than 3 decades of presence, having footprints in almost all Brazilian states. It has developed thousands of kilometers of transmission lines up to 750 kV and substations up to 500 kV Voltage level. Fasttel has built over 2,000 Kms of Transmission Lines and over 50 substations for various voltage range up to 750 kV.
