Kalpataru Set to Take Full Control of Thane's Kalpataru Parkcity Entities
Published
Kalpataru Limited has announced that its subsidiary, Kalpataru Properties Limited, will acquire the remaining 16.67% equity stake in two step-down subsidiaries that develop the Kalpataru Parkcity township on Kolshet Road, Thane West. The board of Kalpataru Properties approved the transaction on 31 October 2026, according to a stock exchange filing, and the deal is structured as an all-cash purchase with a total consideration of Rs 5,254.56 lakh, or about Rs 52.54 crore.
The two entities are Agile Real Estate Private Limited and Agile Real Estate Dev Private Limited. Once the transaction is complete, both companies will become wholly owned subsidiaries of Kalpataru Properties and step-down wholly owned subsidiaries of Kalpataru Limited. The parent is expected to complete the acquisition within 60 days of the board approval, subject to the necessary regulatory clearances.
Transaction terms and entity details
Of the total consideration, Rs 5,205.42 lakh is payable for 8,00,83,333 equity shares of Agile Real Estate Private Limited. The remaining Rs 49.14 lakh is payable for 12,284 equity shares of Agile Real Estate Dev Private Limited. Both amounts are paid in cash.
Agile Real Estate Private Limited has been operating since 2007 and reported a turnover of Rs 410.90 crore for the financial year ended 31 March 2026, up from Rs 604.82 crore in 2024-25 and Rs 333.99 crore in 2023-24. Agile Real Estate Dev Private Limited has been operating since 2008 and has not reported revenue from operations in the last three financial years.
The practical effect of the deal is that Kalpataru Limited becomes entitled to 100% of the project surplus and cash flows generated by the Thane township. Industry commentary has described the move as giving the group full control over the project's economics without sharing profits with minority shareholders.
Kalpataru Parkcity and the Kolshet Road corridor
Kalpataru Parkcity is a 108-acre integrated mixed-use township on Kolshet Road. The developer describes it as a residential community built around a Grand Central Park of more than 20 acres, which is already operational and has over 4,500 trees. The township also includes planned commercial spaces, retail avenues, a school, a Ganesh temple and proposed bus stops.
Kolshet Road runs between Ghodbunder Road and the Eastern Express Highway in Thane West. Thane Railway Station, the main hub for the Central and Trans-Harbour lines, is less than 15 minutes away by road, and the Eastern Express Highway lies roughly 4 to 6 km from the corridor. The Airoli IT belt is about 12 to 16 km away, Bandra-Kurla Complex is roughly 28 to 32 km, and Navi Mumbai International Airport is around 40 to 45 km. Viviana Mall, Korum Mall and Jupiter Hospital are among the social infrastructure points nearby.
The corridor is also tied to several planned transport projects, including Metro Line 4 and Metro Line 5, the Thane Ring Metro with a station serving the Kolshet Industrial Area, and the Borivali-Thane tunnel. Completion dates for these projects differ across published sources, and Kolshet Road remains congested at peak hours.
Kalpataru's footprint in Thane and Mumbai
Kalpataru Limited is a Mumbai-based developer with its registered head office at Kalpataru Synergy in Santacruz East. The group has delivered several projects in Thane, including Kalpataru Paramount in Thane West, Kalpataru Immensa on Kolshet Road and Kalpataru Sunrise in Thane West. Its Kolshet Road holdings also include the Parkcity sub-projects that the current deal relates to.
Beyond Thane, the group has been active in Mumbai redevelopment. In May 2026, it was reported to be advancing a cluster redevelopment in Kandivali East with revenue potential of about Rs 1,250 crore. Kalpataru has built a portfolio across Mumbai, Thane, Panvel, Pune, Hyderabad, Indore, Bengaluru and Jodhpur over its years of operation.
What comes next
The next formal milestone is the completion of the share purchase, expected within 60 days of the 31 October 2026 board approval, which would place it around late December 2026. Investors will be looking for the completion notice from the stock exchange, which will confirm the change in ownership. Following completion, the group's consolidated financial statements are expected to reflect the full cash flows of the Parkcity entities, and the Kolshet Road township will be run as a fully owned project under Kalpataru.
